1. Agreement to Terms

By downloading, installing, or using the Quantelis AI DataChat Power BI visual (“the Software”) or any related services provided by Data Active (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Software.

Data Active is a company registered in Lynnwood, South Africa. The Quantelis AI DataChat product is developed and operated by Data Active.

2. Description of Service

Quantelis AI DataChat is a custom visual for Microsoft Power BI that enables users to ask natural language questions about data loaded into the visual. Responses are generated by artificial intelligence via a managed backend proxy service operated by Data Active, powered by Anthropic’s Claude AI model.

3. Licence Tiers

3.1 Free Tier

Use without a valid licence key is subject to:

• 20 queries per day
• Maximum 50 rows of data per query
• No warranty of uptime or availability

3.2 Pro Licence

Upon purchase of a Pro licence key you are granted a non-exclusive, non-transferable, worldwide licence including:

• Up to 200 queries per day
• Up to 500 rows of data per query
• Licence keys are issued per individual or per organisation as specified at purchase

3.3 Restrictions

You may not:

• Resell, sublicense, or transfer your licence key to a third party
• Reverse-engineer, decompile, or disassemble the Software
• Use the Software to generate unlawful, harmful, or deceptive content
• Use the Software in a way that violates Anthropic’s Acceptable Use Policy

4. Payment and Billing

Payments are processed by Paddle.com Market Limited (“Paddle”), who acts as Merchant of Record. All billing, invoicing, and payment disputes are handled by Paddle. Prices are displayed in USD. Paddle collects and remits applicable taxes (including VAT/GST) on your behalf.

6. Service Availability

The Software depends on Anthropic’s Claude API and Quantelis AI’s proxy infrastructure hosted on Microsoft Azure. We target 99% monthly uptime but do not guarantee uninterrupted availability. We are not liable for downtime caused by Anthropic, Microsoft Azure, or other third-party services.

7. Data and Privacy

By using the Software, you acknowledge that:

• Data from your Power BI report is transmitted to Quantelis AI’s proxy server and then to Anthropic’s API to generate responses
• You are responsible for ensuring you have the right to transmit any data you load into the visual
• You must not load personal, health, financial, or regulated data without appropriate authorisation under applicable data protection law
• Quantelis AI does not permanently store your report data beyond the duration of the request

8. Intellectual Property

The Software, including all code, design, and documentation, is the intellectual property of Data Active. The Quantelis AI DataChat brand and associated materials are owned by Data Active. The AI model powering responses is Claude, owned by Anthropic PBC. Use of the Software does not grant you any ownership rights.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. DATA ACTIVE DOES NOT WARRANT THAT AI RESPONSES WILL BE ACCURATE OR FIT FOR ANY PARTICULAR PURPOSE, THAT THE SERVICE WILL BE UNINTERRUPTED, OR THAT ANY ERRORS WILL BE CORRECTED. AI responses should not be relied upon as professional financial, legal, medical, or other regulated advice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATA ACTIVE’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL DATA ACTIVE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Governing Law

These Terms are governed by the laws of the Republic of South Africa. EU consumers retain mandatory protections afforded by the law of their country of residence.

12. Changes to Terms

We may update these Terms at any time. We will notify existing Pro licence holders of material changes via email. Continued use after changes constitutes acceptance.
